Cornerstone’s staff has extensive experience in assisting organizations on both sides of the table with mergers and acquisitions (representing both buyers and sellers), and recognizes that seemingly simple tasks, such as timeliness of requests, can significantly impact a deal.
A key element of our approach is performing an Environmental Analysis of planned acquisition and/or consolidation of operations in an effort to determine project-related approvals, costs and timelines. This step can include exploration of a variety of parameters that provide clients information on the most favorable regulatory operational flexibility options.
For clients considering mergers, acquisitions or consolidations. Cornerstone has extensive experience on both sides of the table (representing both buyers and sellers), and recognizes that seemingly simple tasks, such as timeliness of requests, can significantly impact a deal. We understand that timely delivery of accurate, relevant and organized data in a secure environment is critical in a transaction.
We have extensive Project Management experience, such as executing plans into action, managing costs and timelines, and reporting project status via a variety of electronic tools. Our Due Diligence services include systematic organization of documents via secure virtual data file room, presentation materials, one-page rip and run reports and formal project status reports via a variety of electronic tools.
Our staff has the ability and experience to communicate effectively with legal counsel, financial institutions, consultants, trustees, Board of Directors and other individuals involved in the transaction. The Cornerstone team has the experience and the finesse to know when and how to answer questions; we are adept in applying a reasonableness factor, when appropriate, to information requests to prevent unnecessary delays; and work to develop a detailed understanding of our client’s priorities (i.e. materiality thresholds); thereby allowing us to focus on critical concerns.
Buyer’s transaction services include:
Services include a critical analysis of regulatory applicability and comprehensive evaluation of related business functions in an effort to verify status of compliance and, based on the operational profile, an evaluation of risk and liabilities to support decision-making by all parties involved on the buyer’s behalf. This component includes identification of issues which may have financial implications, such as reduction of purchase price, establishment of escrow, etc.
While due diligence is ideally conducted via on-site evaluation, Cornerstone has experience with probing interviews and questions when remote due diligence is the only feasible means of discovery.
Seller’s transaction services include:
Services include assistance with initial narrative related to the Confidential Business Memorandum (distributed to potential buyers); review and response to prospective buyer’s compliance inquiries; professional presentation of organized and relevant documentation supporting the effectiveness of the seller’s environmental compliance management program; representing client/seller in meetings, conference calls and other communication with prospective buyer’s team involved in the transaction.
